Version 3.0 · Effective [DATE] · Replaces Version 2.0 (August 21, 2026)
This Vendor Agreement ("Agreement") is between NContro ("NContro," "we," "us") and the individual or business that registers as a vendor ("Vendor," "you"). By creating a Vendor account, listing services, sending a quote, accepting a booking or receiving a payment through NContro, you agree to this Agreement.
Summary
You are an independent business. You set your services, prices, deposit and cancellation policy.
NContro keeps an 8% Vendor Service Fee from each customer payment. You pay no card processing fees, and tips are yours in full.
Customers also pay NContro a 5% Booking Protection Fee, which is included in the prices they see.
NContro earns its money from fees on bookings made in the app. All business with customers you meet on NContro must be done through the app, and vendors who go around it will be removed.
If you cancel or don't show up, the customer gets a full refund and you cover the cost of that refund.
1. What NContro Does
1.1 NContro is an online marketplace that connects Vendors with people planning events ("Customers").
1.2 NContro provides listings, messaging, booking and payment tools. NContro does not provide event services, employ Vendors, or control how Vendors perform their work. The contract for services in each booking is between the Vendor and the Customer.
2. Independent Business
2.1 You are an independent business, not an employee, partner, franchisee, agent or joint venturer of NContro.
2.2 You decide whether to accept a booking, how to perform your services, your prices, your schedule, and who works for you. You supply your own equipment, staff and supplies.
2.3 You may not make commitments on NContro's behalf.
3. Eligibility
3.1 To be a Vendor, you confirm that:
you are at least 18 years old and can enter this Agreement;
if you act for a business, you have authority to bind it;
your business is legally formed and registered where required;
you hold every license, permit and insurance policy the law requires for your services;
you will follow all federal, Virginia and local laws that apply to your business.
3.2 NContro may ask for proof of any of these at any time.
4. Payments Account (Stripe)
4.1 NContro uses Stripe to process payments and pay Vendors. To receive payouts through Stripe, you must open a Stripe account through NContro and give Stripe the identity, business, tax and bank information it requires.
4.2 Payment processing services for Vendors on NContro are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal/full), which includes the Stripe Terms of Service (https://stripe.com/legal/ssa) (together, the "Stripe Services Agreement"). By agreeing to this Agreement or continuing to operate as a Vendor on NContro, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of NContro enabling payment processing services through Stripe, you agree to provide NContro accurate and complete information about you and your business, and you authorize NContro to share it and transaction information related to your use of the payment processing services provided by Stripe.
4.3 Until your Stripe account is ready, NContro may pay you by manual transfer under Section 8.
5. Your Listing
5.1 You are responsible for everything in your listing: business name, contact details, services, menus, packages, prices, photos, service area, hours and availability. It must be accurate and current.
5.2 Update your listing promptly when anything changes, including prices, licenses, insurance or availability.
5.3 Photos and descriptions must show your own work and services. Do not use others' photos or claim certifications, awards or experience you don't have.
6. Pricing and Quotes
6.1 All-in prices. Virginia law requires the price shown to a consumer to include every mandatory fee or surcharge (Va. Code § 59.1-608). Any price you list or quote must include all charges the Customer must pay for that service, such as setup, delivery, staffing, mandatory service charges or minimums. Sales and meals taxes may be shown separately.
6.2 Charges that depend on the Customer's choices. If the total depends on choices such as guest count, hours, distance or menu, your listing or quote must say what sets the price, list any mandatory fees, and say that the total may vary. The exact total must appear in the quote before the Customer accepts it.
6.3 NContro's Booking Protection Fee. NContro adds a 5% Booking Protection Fee to each Customer payment. NContro shows it in every price Customers see. You do not collect it, and it is not part of your earnings.
6.4 Quotes. Each quote must clearly state the services included, the total price, the deposit, the payment schedule, your cancellation policy, and any optional add-ons such as overtime or extra travel, with their prices.
6.5 No price changes after acceptance. Once a Customer accepts a quote, you may not raise the price or add charges unless the Customer agrees on NContro or asks for a material change to the services.
7. Bookings
7.1 When a Customer accepts your quote and pays the deposit, the accepted quote and the booking terms shown at that moment form the "Booking Agreement" between you and the Customer.
7.2 The Booking Agreement includes the parties, event date, time and location, services and quantities, price, deposit, balance and payment schedule, cancellation policy, and any other terms in the accepted quote.
7.3 Your later changes to your listing, prices or policies do not change an existing Booking Agreement.
7.4 Material changes to a booking (services, price, date, quantities or fees) need both your and the Customer's agreement. When recorded on NContro, the change becomes part of the booking record, which keeps the original terms as history.
8. Fees and Payouts
8.1 Vendor Service Fee. NContro keeps 8% of each Customer payment for your services, including deposits, balances and installments.
8.2 No other deductions for processing. NContro pays the card processing costs. Tips go to you in full, with no fee.
8.3 What NContro deducts. From each payment, NContro deducts only:
the Vendor Service Fee;
refunds issued under the Booking Agreement or the Payment, Cancellation & Refund Policy;
amounts you owe under Sections 10, 12 or 13;
taxes NContro is required by law to withhold or collect.
8.4 Payouts. NContro pays you after the Customer's payment clears and any holding period ends, through Stripe or by manual transfer. Your dashboard shows each payment, fee and expected payout.
8.5 Fees are locked at booking. The fee rate in effect when a booking is confirmed applies to that whole booking. NContro will give you at least 30 days' notice before changing the Vendor Service Fee for new bookings.
8.6 Refunds and fees. If a Customer payment is refunded, NContro's fee on the refunded amount is reversed. If you keep part of a payment under your cancellation policy, NContro keeps its fee on the part you keep.
8.7 Holding payouts. NContro may hold a payout only as long as reasonably necessary to deal with a chargeback, refund request, fraud investigation, court or government order, or material breach of this Agreement. NContro will tell you why.
9. Deposits and Cancellation Policy
9.1 You set your deposit (none, a fixed amount, or a percentage) and when the balance is due.
9.2 Before accepting bookings, you must choose a cancellation policy from the options NContro offers (flexible, moderate, strict or custom). Customers see it before they book, and it is saved in each Booking Agreement.
9.3 You must honor the deposit, payment schedule and cancellation policy in each Booking Agreement.
9.4 All deposits and payments for a booking that started on NContro must go through NContro (see Section 14).
10. If You Cancel or Don't Show Up
10.1 If you cancel a confirmed booking, or fail to appear or perform without a lawful or contractual excuse, the Customer receives a full refund of everything paid through NContro, including the Booking Protection Fee.
10.2 You will not be paid for that booking. You must return any amount already paid out for it.
10.3 You owe NContro an amount equal to the Booking Protection Fee refunded to the Customer, to cover NContro's costs. NContro may deduct it from future payouts.
10.4 Tell the Customer and NContro as soon as you know you can't perform. NContro may help the Customer find a replacement.
10.5 Cancellations and no-shows may also lead to lower search ranking, warnings, suspension or removal, especially if repeated.
10.6 You are excused if you cannot perform because of events beyond your reasonable control, such as severe weather, natural disaster or government order, if you notify the Customer and NContro promptly. The Customer still receives a full refund, but Section 10.3 and 10.5 do not apply.
11. Service Standards
11.1 You agree to perform the services in the Booking Agreement professionally, on time, and as described.
11.2 Respond to Customer messages and booking requests within a reasonable time, generally within 48 hours.
11.3 Keep your calendar accurate so you are not booked for dates you can't serve.
11.4 Treat Customers with courtesy and respect. Harassment, threats and discrimination prohibited by law are not allowed.
11.5 NContro may consider ratings, verified complaints, cancellations, response times and completion rates when ranking listings and reviewing accounts. NContro does not guarantee any number of bookings, ranking or rating.
12. Licenses, Permits, Insurance and Safety
12.1 You must hold and keep current every license, permit, registration and insurance policy the law requires for your services, including any business license, health department or food permit, and, if you serve or sell alcohol, the license required by the Virginia Alcoholic Beverage Control Authority.
12.2 If you provide food or drink, you are responsible for preparing, storing, transporting and serving it safely and lawfully, and for disclosing allergens when asked.
12.3 If you provide transportation, you must hold the licenses, registrations, inspections and insurance required for commercial passenger service.
12.4 If you lose, let lapse or have suspended any required license, permit or insurance, you must stop accepting affected bookings and tell NContro right away.
12.5 You are responsible for any injury, illness, damage or loss caused by your services, staff, equipment or products.
13. Taxes
13.1 You are responsible for reporting and paying all taxes on your business, including income, payroll, sales, meals and local taxes, unless the law requires NContro to collect or remit a tax.
13.2 Stripe or NContro may issue tax forms, such as Form 1099-K, as required by law. You must give accurate tax information when asked.
13.3 NContro does not give tax advice.
14. All Business Goes Through NContro
14.1 Why this matters. NContro is free to join and earns its money only from fees on bookings made through the app. Every booking done outside the app is lost revenue that pays for the marketing, technology and support that brought you the Customer.
14.2 The rule. All business with a Customer you met through NContro must be done through the NContro app, including quotes, bookings, deposits, balance payments, add-ons, changes and repeat bookings.
14.3 Not allowed. For any Customer you met through NContro, you may not:
ask for or accept payment outside NContro, by cash, check, Zelle, Venmo, Cash App, PayPal, wire, cryptocurrency or any other method;
send outside invoices, contracts, payment links or QR codes;
offer discounts or other incentives to book or pay outside NContro;
share your phone number, email, website or social media in order to move the booking off NContro;
ask a Customer to cancel an NContro booking so you can deal directly;
take a later booking from that Customer outside NContro within 12 months after your last booking or quote with them on NContro, unless NContro agrees in writing.
14.4 Violations mean removal. A Vendor who does business with a NContro Customer outside the app will be removed from NContro: the account will be closed and all listings taken down. NContro may also cancel the Vendor's pending bookings (with full refunds to Customers), collect the Vendor Service Fee that would have applied to the outside business, and refuse future accounts from that Vendor. NContro decides after reviewing the evidence, such as messages, Customer reports and payment records, and will tell the Vendor the reason.
14.5 What is still allowed. You may talk with Customers directly as needed to plan and perform an event that is booked on NContro, such as logistics, menus and site visits. This Section does not apply to customers you had a business relationship with before they first contacted you on NContro (NContro may ask for reasonable proof), and it does not stop you from marketing your business or serving customers you find elsewhere.
14.6 Reporting. If a Customer asks you to book or pay outside NContro, decline and let NContro know. Vendors who report it in good faith are not penalized.
15. Customer Information
15.1 You will receive Customers' names, event details, messages and contact information to provide your services.
15.2 You may use Customer information only to quote, plan and perform the booked services and to meet your legal obligations. You may not sell it, share it with others for their marketing, or add Customers to your marketing lists without their consent.
15.3 Keep Customer information secure, and delete it when you no longer need it for the booking or your legal records.
15.4 NContro's handling of personal information, including yours, is described in the NContro Privacy Policy.
16. Verification
16.1 NContro may verify Vendors by reviewing licenses, insurance, permits, certifications, identity and other documents.
16.2 A "Verified" badge means only that NContro reviewed certain documents under its procedures at that time. It is not a guarantee of quality, safety or performance.
16.3 You must keep submitted documents current and replace them before they expire. Submitting false or altered documents is fraud under this Agreement.
17. Reviews
17.1 Customers may review you after a booking. NContro may remove reviews that are fake, abusive, unlawful or that break NContro's rules, but not just because you disagree with them.
17.2 You may not buy, trade or write reviews of your own business; offer discounts, refunds or gifts for reviews; ask friends, family or staff to post reviews; or post false reviews of competitors.
18. Prohibited Conduct
You may not:
give false information or impersonate any person or business;
open more than one Vendor account without NContro's permission;
misrepresent your prices, availability, qualifications, licenses, insurance, staff or services;
advertise one price and charge more after acceptance (see Section 6.5);
use stolen or unauthorized payment methods or tamper with NContro's payment system;
accept bookings you don't intend or aren't able to perform;
harass, threaten or unlawfully discriminate against anyone;
infringe anyone's intellectual property;
use NContro for anything illegal.
19. Investigations, Suspension and Termination
19.1 NContro may investigate possible violations of this Agreement and complaints about Vendors. You agree to cooperate and provide reasonably requested records, such as licenses, insurance certificates, invoices, receipts and photos.
19.2 While investigating, NContro may temporarily pause new bookings, hide your listings, or hold related payouts under Section 8.7. A suspension is not a final decision.
19.3 NContro may close your account for serious or repeated violations, including fraud, misrepresentation, failure to keep required licenses or insurance, repeated cancellations or no-shows, or conduct that endangers Customers. Where reasonable, NContro will give you notice and a chance to respond first, unless immediate action is needed to protect users. Doing business outside the app is handled under Section 14.4.
19.4 You may close your account at any time by contacting NContro, after you finish or cancel your confirmed bookings under this Agreement.
19.5 Obligations that arose before closing, including refunds, amounts owed and Sections 12.5, 20, 21 and 23, continue after closing.
19.6 NContro may report suspected crimes, fraud or safety violations to law enforcement, regulators, payment processors or other appropriate parties.
20. Chargebacks
20.1 If a Customer disputes a payment with their bank, you must provide evidence NContro or Stripe reasonably requests, such as the Booking Agreement, messages, photos and proof of service, within 5 business days.
20.2 If the dispute is decided against you because of your services or conduct, NContro may recover the disputed amount and the processor's dispute fee from your future payouts.
21. Intellectual Property
21.1 You keep ownership of your business name, logos, photos, menus and other content.
21.2 You give NContro a non-exclusive, royalty-free license to display, copy and adapt (for example, resize or crop) that content to run and promote NContro, including in ads and social media, for as long as your listing is active and a reasonable time afterward to remove it from materials already made.
21.3 You confirm you own or have permission to use everything you upload.
22. Records and Disputes With Customers
22.1 NContro may keep and review records, including Booking Agreements, policies, timestamps, payment and refund records, messages and uploads, to handle refunds, disputes, chargebacks, cancellations, no-shows, fraud and compliance matters, and may share them as allowed by the Privacy Policy and law.
22.2 NContro may help you and a Customer resolve a dispute, but NContro is not a court, arbitrator, insurer or guarantor and does not have to decide every dispute.
23. Responsibility for Claims
23.1 You agree to defend and hold harmless NContro and its owners, employees and contractors from third-party claims, and to pay resulting losses, costs and reasonable attorneys' fees, to the extent they arise from your services, products, staff or equipment; your negligence or misconduct; injury, illness or property damage you cause; your violation of law or this Agreement; your taxes; or content you upload.
23.2 To the extent the law allows, NContro is not liable for lost profits, lost business or indirect, special, consequential or punitive damages. NContro's total liability to you for any claim related to a booking is limited to the Vendor Service Fees NContro received for that booking. Nothing here limits liability that cannot be limited under Virginia law, such as for gross negligence or willful misconduct.
24. Third-Party Services
24.1 NContro relies on outside services such as Stripe, email providers and hosting providers. If you connect an outside service such as a calendar integration, you authorize NContro to exchange the information needed for it to work.
24.2 NContro is not responsible for outages or errors in services it does not control, to the extent the law allows.
25. Electronic Acceptance and Notices
25.1 Clicking to accept, checking a box, sending a quote, accepting a booking or change, or receiving a payment on NContro counts as your electronic signature and acceptance, under the Virginia Uniform Electronic Transactions Act and federal law.
25.2 NContro may send you notices by email to your account address or in the app.
26. Governing Law and Disputes
26.1 This Agreement is governed by the laws of the Commonwealth of Virginia.
26.2 If a dispute arises between you and NContro, contact us first. Both sides will try in good faith to resolve it within 30 days.
26.3 If it isn't resolved, it will be decided by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in or near Alexandria, Virginia, or by video. Either party may instead bring an individual claim in a Virginia general district court (small claims) that has jurisdiction.
26.4 Claims must be brought individually, not as part of a class or representative action, to the extent the law allows.
27. Changes to This Agreement
27.1 NContro may update this Agreement. NContro will notify you of material changes by email or in the app at least 30 days before they take effect, unless a change is required sooner by law.
27.2 Changes do not affect Booking Agreements already accepted.
27.3 If you don't agree to a change, you may close your account before it takes effect. Continuing to use NContro after that means you accept it.
28. Entire Agreement
28.1 This Agreement, the NContro Privacy Policy, the Payment, Cancellation & Refund Policy, and each Booking Agreement are the entire agreement between you and NContro about this subject.
28.2 If any part of this Agreement is found unenforceable, the rest stays in effect. NContro's failure to enforce a term is not a waiver.
28.3 You may not transfer this Agreement without NContro's written consent. NContro may transfer it as part of a merger, acquisition or sale of its business.
